Terms of Service

PLEASE READ THESE TERMS CAREFULLY.

Getivity (“Getivity”, “we”, “us”, “our”) is a SaaS platform operated by AccelerateBS India Limited, a company incorporated and registered in Mumbai, India. These Terms and Conditions (“Agreement”) constitute a legally binding contract between you (“Customer”, “you”, “your”) and AccelerateBS India Limited (“Getivity”, “we”, “us”, “our”), governing your use of the Getivity SaaS platform (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these terms, do not use the Service.

1. Definitions

• Affiliate: Any entity controlling, controlled by, or under common control with a party.
• Agreement: These Terms and Conditions.
• Customer Data: All data, content, and information submitted or collected through the Service by you or your users.
• End User: Your employees, contractors, or others authorized to use the Service on your behalf.
• Service: The Getivity SaaS platform, including all related software, applications, and services provided by AccelerateBS India Limited.
• Subscription Fee: Fees payable by you for the Service as described in your subscription order.
• Subscription Term: The initial and any renewal period for which you subscribe to the Service.

2. Use of Service

• Subject to payment of fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during the Subscription Term.
• You are responsible for all activities under your account including those of your End Users.
• You must be 18 years or older to use the Service.
• You agree not to: (a) reverse engineer or misuse the Service; (b) infringe on intellectual property rights; (c) use the Service for unlawful purposes; or (d) allow unauthorized users to access your account.
• You agree to maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use.
• Use of the Service is subject to applicable laws including export controls and sanctions.

3. Fees and Payment

• Subscription Fees are as set out in your order and subject to change with 30 days’ notice.
• Payments will be collected via approved payment gateways (e.g., Zoho Billing, Razorpay).
• You authorize these providers and us to charge your selected payment method.
• No refunds will be provided for unused portions unless otherwise stated.
• Taxes are your responsibility and will be charged as required by law.

4. Term and Termination

• The Subscription Term starts on the date specified in your order and renews automatically unless cancelled in advance.
• You may cancel your subscription via the account settings interface.
• Upon termination, your access will be revoked and data may be deleted as per our data retention policy.

5. Ownership and Customer Data

• You retain ownership of all Customer Data.
• By submitting Customer Data, you grant us a limited license to use it for providing the Service.
• We may use aggregated non-identifiable data for analytics and product improvement.

6. Intellectual Property

• All intellectual property rights in the Service remain with Getivity and its licensors.
• You agree not to infringe or otherwise misuse our intellectual property.

7. Confidentiality

• Both parties agree to maintain confidentiality of any proprietary or sensitive information disclosed.
• Disclosure is permitted only as legally required with prior notice unless prohibited by law.

8. Limitation of Liability

• The Service is provided “as is” without warranty of any kind.
• We exclude liability for indirect, incidental, punitive, or consequential damages.
• Our total liability is limited to the fees you have paid for the Service in the prior 12 months.

9. Indemnification

• You agree to indemnify and hold harmless Getivity and all its affiliates from claims arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.

10. Governing Law and Dispute Resolution

• These Terms are governed by Indian law.
• Disputes will be subject to the exclusive jurisdiction of courts located in Mumbai, Maharashtra, India.

11. Changes to Terms

• We may update the Terms by posting revised versions on our website with notice.
• Continued use after updates constitutes acceptance.

12. Miscellaneous

• These Terms represent the entire agreement.
• If any term is invalid, remaining terms remain effective.
• You may not assign your rights without permission.
• We may assign our rights in case of corporate restructuring.
